Lining Division Case Study
Acuity Advises on the Sale of Lining Division Limited (LDL) to Vortex Companies
Acuity was pleased to act as the lead advisor to the shareholders of Lining Division Limited (LDL), a leading provider of trenchless drainage repair and rehabilitation services, on the sale of the business to Vortex Companies — a global leader in advanced trenchless water and sewer technologies and services.
Founded in 2009 by Darren Morgan-Owen and Roy Page, LDL quickly established itself as a trusted name in the UK’s infrastructure sector, providing innovative and sustainable solutions to a growing client base. After over a decade of strong growth, Darren and Roy were looking for a partner who could help take the business to the next stage of development, while maintaining LDL’s legacy of quality service.
The Deal & Our Role
Acuity’s Corporate Finance team worked closely with the shareholders of LDL to guide them through a smooth transaction process. From the initial discussions to negotiations and finalizing the deal, we provided strategic advice, transaction support, and tailored guidance. Darren and Roy’s goal was to find a buyer that not only offered financial stability but also shared their vision for the future of LDL.
Following the acquisition, Darren and Roy transitioned out of the business, while Paul Brooker, LDL’s Director of Operations, remained in his role, partnering closely with the Vortex team to help expand LDL’s reach across the UK.
“We have had a strong working relationship with Acuity as our accountants for over a decade, and the support and guidance that Dan, Jonathan and the rest of the Corporate Finance Team provided throughout the deal process was invaluable.” — Darren Morgan-Owen & Roy Page, Co-founders of Lining Division Limited.
“It was a privilege to work with Darren, Roy, and the entire Lining Division team. We look forward to supporting Paul and Vortex in the next exciting chapter for the business. This is a great opportunity for LDL to expand its footprint, and we are thrilled to have been part of this journey.” — Jonathan Skinner, Partner at Acuity.
Looking Ahead
With Vortex’s support and Paul’s leadership, LDL is poised for further growth and success in the UK. We look forward to continuing our relationship with both the Lining Division team and Vortex as they embark on this exciting new phase of their business.
